1. Who these Terms apply to
These Terms of Service ("Terms") are a contract between you — the individual or organization that creates an AuraQuote account ("you," "Customer") — and the operator of AuraQuote ("AuraQuote," "we," "us"), an individual operator based in the United Arab Emirates (contact details in Section 14). By creating an account, subscribing to a paid plan, or otherwise using AuraQuote (the "Service"), you agree to these Terms. If you are accepting these Terms on behalf of an organization, you confirm you have authority to bind that organization.
2. What the Service is
AuraQuote is a quoting and workflow-management workspace that turns an itemized plan into a priced client proposal and an operational dispatch sheet. It is commonly used by travel, event, and other service teams that quote and coordinate multi-item jobs, but is not limited to any one industry. From a single plan, the Service generates: (a) a priced client proposal (accessible via a link, no login required by the recipient), and (b) an operational dispatch sheet with cost and margin information automatically removed. The Service is provided on a multi-tenant basis: each Customer's workspace ("Tenant") is logically separated from other Tenants.
3. Accounts, plans and seats
You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity under your account and for managing who on your team has access (seats).
AuraQuote is offered in three plans — Solo, Pro, and Enterprise — each with different seat limits, storage quotas, and feature access (including, for Enterprise, the owner dashboard and finance center modules). Current pricing and plan limits are shown on our pricing page and are subject to change with notice as described in Section 12.
3.1 Free trials and promotional access
AuraQuote may run time-limited promotions granting Customers who sign up within a stated window temporary access to a higher-tier plan's features ("Promotional Trial"). Unless stated otherwise, this access is automatic, requires no credit card, and expires at the end of the stated period — your account then reverts to your actual plan (Solo, by default), with no auto-charge.
4. Billing, cycles and cancellation
Paid subscriptions are billed monthly or annually in advance, in USD, and processed by our payment processor, Lemon Squeezy, Inc., acting as merchant of record. AuraQuote does not directly receive or store your full payment card number. You authorize recurring charges for the plan and billing cycle you select until you downgrade or cancel.
- You may cancel or downgrade at any time from your account settings; cancellation takes effect at the end of the current billing period unless stated otherwise.
- Fees are non-refundable except where required by law or expressly stated otherwise.
- If a payment fails, we may suspend access to paid-tier features until payment is resolved, after a reasonable notice period.
5. Your data, your responsibility
When you use AuraQuote to build plans and proposals, you will typically enter information about your own clients, such as names, phone numbers, and job details ("Client Data"). You are responsible for this data: you must have the right to input it, and you must not upload sensitive data such as health information, government ID numbers, or full card numbers — we do not certify the Service for that kind of data. AuraQuote only stores, prices, and displays Client Data on your behalf; see our Privacy Policy for details.
6. Acceptable use
You agree not to: (a) use the Service to send unsolicited communications or engage in fraud; (b) attempt to access another Tenant's data or bypass Tenant isolation; (c) reverse-engineer, resell, or white-label the Service beyond what your plan explicitly permits; (d) upload unlawful, infringing, or malicious content; or (e) use the Service in a way that violates applicable export-control, sanctions, or anti-money-laundering laws.
7. Intellectual property
AuraQuote and its licensors own all rights in the Service itself (software, design, branding). You retain ownership of the itinerary, pricing, and Client Data you input ("Customer Content"). You grant AuraQuote a limited license to host, process, and display Customer Content solely to provide the Service to you.
8. Availability and disclaimers
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Pricing calculations, currency conversions, and generated proposals are tools to assist you — you remain responsible for verifying figures before sending them to your clients or entering into contracts based on them.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURAQUOTE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO AURAQUOTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. AURAQUOTE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BOOKINGS, EVEN IF ADVISED OF THE POSSIBILITY. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold AuraQuote harmless from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your Customer Content or Client Data, including any claim that you lacked the right to input it; (b) your violation of these Terms; or (c) your violation of applicable law, including data protection law with respect to your own clients.
11. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately for severe violations (e.g. fraud, security threats, non-payment after the applicable grace period). You may stop using the Service and close your account at any time. On termination, we will make reasonable efforts to allow you to export your Customer Content for a limited period (see Privacy Policy for retention/deletion timelines), after which it may be deleted.
12. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice (e.g. via email or an in-product notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

5. 您的数据，您的责任

6. 可接受的使用
您同意不会：(a) 利用本服务发送未经请求的通信或从事欺诈；(b) 试图访问其他租户的数据或绕过租户隔离；(c) 对本服务进行逆向工程、转售或贴牌，超出您所在套餐明确允许的范围；(d) 上传非法、侵权或恶意的内容；或 (e) 以违反适用的出口管制、制裁或反洗钱法律的方式使用本服务。
7. 知识产权
AuraQuote 及其许可方拥有服务本身（软件、设计、品牌）的一切权利。您保留对您录入的行程、价格和客户数据（“客户内容”）的所有权。您授予 AuraQuote 有限的许可，仅为向您提供服务而托管、处理和展示客户内容。
8. 可用性与免责声明
我们力求高可用性，但不保证服务不会中断或没有错误。在法律允许的最大范围内，服务按“现状”和“可用”的状态提供，不附带任何明示或暗示的保证，包括适销性、特定用途适用性和不侵权。价格计算、货币换算和生成的提案只是辅助您的工具——在把数字发给您的客户，或据此订立合同之前，您仍需自行核实。
9. 责任限制
在法律允许的最大范围内，AURAQUOTE 因本条款或本服务而产生或与之相关的全部责任，不超过您在索赔发生前十二（12）个月内向 AURAQUOTE 支付的金额。AURAQUOTE 不对间接的、附带的、特殊的、后果性的或惩罚性的损害承担责任，包括利润损失或订单损失，即使已被告知发生这类损害的可能性。本条款中的任何内容都不限制根据适用法律无法限制的责任。
10. 赔偿
对于因下列原因产生的索赔、损害和费用（包括合理的律师费），您同意向 AuraQuote 赔偿并使其免受损害：(a) 您的客户内容或客户数据，包括任何关于您无权录入这些数据的主张；(b) 您违反本条款；或 (c) 您违反适用法律，包括与您自己的客户有关的数据保护法律。
11. 暂停与终止
如果您严重违反本条款，并且在收到通知后的合理期限内没有纠正，我们可以暂停或终止您的访问权限；对于严重违规（例如欺诈、安全威胁、宽限期后仍未付款），可立即执行。您可以随时停止使用本服务并关闭账号。终止时，我们会尽合理努力在一段有限的期间内让您导出您的客户内容（保留与删除的时间安排见隐私政策），之后这些内容可能会被删除。
12. 本条款的变更
我们可能会不时更新本条款。对于重大变更，我们会在其生效前提供合理的通知（例如通过电子邮件或产品内通知）。变更生效后继续使用本服务，即视为接受变更。
13. 适用法律与争议
本条款受阿拉伯联合酋长国法律管辖，不考虑法律冲突原则。因本条款或本服务产生或与之相关的任何争议，均由阿拉伯联合酋长国有管辖权的法院专属管辖。
